Notice of Ratification of By-Laws and Articles of Incorporation meeting


The Ontario Government has passed new requirements for Not-for-Profit organizations such as the SSEA/SEEA. The legislation is known as ONCA (the Ontario Not-for-profit Organizations Act). All organizations have until the fall of 2024 to either submit revised Articles of Incorporation and Bylaws, or be given a generic set of Bylaws by the Government. The SSEA/SEEA has chosen to revise its existing Bylaws so as to be in full compliance, while retaining our particular character and procedures.

The Article Revisions enshrine the French-language name of the Society in our incorporating document. They also remove the “Institutional Membership” class from the articles. Upon consideration, there was no reason in law why they should be considered Memberships instead of subscriptions, and a number of reasons why they should not be.

The Bylaw revisions are the least possible required to ensure compliance with the legislation, except for a couple of changes that will be explained. Most of what is involved is required, updated legal phrasing and formatting.

Members will meet to hear more about them and to discuss them at 11 a.m. on June 1, 2024. The approval of members is required by the Government to ratify. Failing ratification, the Government's default provisions will come into force and apply to the Society.

Members are able to attend both In Person and Online, and can also cast their vote by proxy and mail-in.
